1. Agreement to These Terms

Welcome to Guidely Pro. These Terms of Service (“Terms”) form a legally binding agreement between you (“you,” “your,” or “Merchant”) and Guidely Pro (“Guidely Pro,” “we,” “us,” or “our”) governing your access to and use of the Guidely Pro website, web application, embedded chatbot widget, connector apps (including the Guidely Pro Shopify app), and any related features, content, or services we make available (collectively, the “Service”).

By creating a Guidely Pro account, installing the Guidely Pro Shopify app, connecting a WooCommerce or other supported storefront, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. About the Service

Guidely Pro is an omnichannel software-as-a-service product that enables merchants to build AI-powered shopping guides, product recommendation experiences, and conversational commerce flows for their online stores. Guidely Pro supports merchants who operate on Shopify, WooCommerce, Wix, Adobe Commerce, and other supported e-commerce platforms. A single Guidely Pro account may be connected to one or more storefronts across different supported platforms.

The Guidely Pro Shopify app, the Guidely Pro WooCommerce integration, and any other platform integration we provide are free-to-install connectors that link a merchant's storefront on that platform to the merchant's Guidely Pro account at digimonk.online. The Guidely Pro account is the primary product surface where merchants build experiences, manage settings, and view analytics across all connected storefronts.

3. Eligibility and Account Registration

To use the Service, you must be at least 18 years old (or the age of legal majority in your jurisdiction), be capable of forming a binding contract, and have the authority to bind the business on whose behalf you are signing up.

You agree to provide accurate, current, and complete information when creating an account and to keep it updated. You are responsible for keeping your password confidential and for all activity that occurs under your account. Notify us immediately at support@guidelypro.ai if you suspect any unauthorized access.

4. Connecting a Storefront

To use the Service with a Shopify, WooCommerce, Wix, or other supported store, you must connect that storefront to your Guidely Pro account through the supported OAuth or authenticated API mechanism. By connecting a storefront, you:

  • Represent and warrant that you are authorized to install applications and grant API access on behalf of that storefront
  • Authorize Guidely Pro to access, sync, and process the product, order, and storefront data necessary to provide the Service, as described in our Privacy Policy
  • Acknowledge that you may connect one or more supported storefronts to a single Guidely Pro account, and that the data from each connected storefront will be processed under these Terms and our Privacy Policy

5. Connector Apps and Service Access

5.1 Connector Apps Are Free to Install

Guidely Pro is an omnichannel software-as-a-service product designed to work across multiple e-commerce platforms. The connector apps we provide for individual platforms — including the Guidely Pro Shopify app, the Guidely Pro WooCommerce integration, and any other platform integration — are free to install and free to use. Installing a connector app does not, by itself, create any charge to you.

5.2 Access to the Service

Access to the Guidely Pro web application and the AI experience features it provides is granted to merchants through their Guidely Pro account. Account creation, onboarding, and connecting one or more storefronts are available without cost. We may introduce paid tiers, usage-based features, or other commercial offerings in the future; if and when we do, the terms of those offerings will be communicated to you in advance and will be subject to your acceptance before any charge is made.

5.3 Changes to the Service

We may add, modify, or remove features at any time. Where a change materially affects how you use the Service, we will provide reasonable advance notice in your account dashboard or by email.

5.4 Account Termination

You may close your Guidely Pro account at any time by emailing support@guidelypro.ai from the address on file. We may also suspend or terminate access where required by these Terms, by applicable law, or to protect the integrity of the Service.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right
  • Sell or promote products that are illegal in the jurisdictions where the merchant's shoppers are located
  • Send unsolicited bulk communications or spam through any lead-capture experience
  • Misrepresent the identity of the chatbot or attempt to deceive shoppers into believing they are speaking to a human
  • Reverse engineer, decompile, scrape, or attempt to derive the source code of the Service, except to the extent expressly permitted by applicable law
  • Probe, scan, or test the vulnerability of the Service or attempt to circumvent its security or rate limits
  • Upload malicious code, viruses, or harmful content
  • Use the Service to build or train a competing product or service

We reserve the right to suspend or terminate accounts that violate these acceptable use rules.

7. Merchant Content and Customer Data

You retain ownership of all data that you upload, configure, or generate through the Service, including product information, chatbot configurations, experience templates, and customer conversation transcripts collected on your storefront (collectively, “Merchant Content”).

You grant Guidely Pro a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Merchant Content solely to provide the Service to you and to operate, improve, and secure the Service.

You are solely responsible for ensuring that the Merchant Content you submit complies with all applicable laws, including data protection law, and that you have all necessary rights and consents to allow Guidely Pro to process it.

8. AI-Generated Content

The Service uses third-party large language model providers to generate conversational responses, product recommendations, and related output (“AI Output”). AI Output is generated automatically based on your store's data, your chatbot configuration, and the shopper's message. AI Output may occasionally contain inaccuracies; you are responsible for reviewing your chatbot's configuration and behaviour, and we recommend regularly testing the experience before deploying it to live shoppers.

9. Third-Party Platforms

The Service integrates with third-party e-commerce platforms, payment processors, and other services (each, a “Third-Party Platform”). Use of any Third-Party Platform is subject to that platform's own terms and policies. Guidely Pro is not responsible for the availability, accuracy, or behaviour of Third-Party Platforms, including any changes to their APIs or billing rules that may affect the Service. If a Third-Party Platform becomes unavailable or substantially modifies its terms, we will use reasonable efforts to maintain or restore the integration but cannot guarantee continued availability.

10. Intellectual Property

The Service, including its software, design, user interface, documentation, and all related intellectual property, is owned by Guidely Pro and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved by Guidely Pro.

11. Confidentiality

Each party agrees to protect the other party's non-public business information disclosed in connection with the Service using the same degree of care it uses to protect its own confidential information, and in no event less than a reasonable standard of care.

12. Service Availability and Modifications

We work to keep the Service available and performing well, but we do not guarantee uninterrupted availability. Scheduled maintenance, unscheduled outages, third-party service interruptions, and force-majeure events may affect availability. We may add, modify, or remove features at any time. Material changes will be communicated to merchants by email or in-app notice.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or quiet enjoyment. We do not warrant that the Service will be error-free, secure, or uninterrupted, or that any AI Output will be accurate or fit for a particular purpose.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Guidely Pro and its affiliates, officers, employees, agents, suppliers, or licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, goodwill, or data, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

Our total cumulative liability arising out of or relating to these Terms or the Service will not exceed the amounts paid by you to Guidely Pro in the 12 months immediately preceding the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless Guidely Pro and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service in violation of these Terms, (b) Merchant Content you submit, or (c) your violation of any third-party right or any applicable law.

16. Termination

You may close your account at any time by emailing support@guidelypro.ai from the address on file. We may suspend or terminate your account if you breach these Terms, if your continued use of the Service would create legal exposure for us, or if required by law.

On termination, your right to access the Service ends immediately, and we will delete your data in accordance with the retention schedule in our Privacy Policy. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

17. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Guidely Pro is incorporated, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved in the competent courts of that jurisdiction, except where applicable law gives you the right to bring a claim in your local courts.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and notify account holders by email at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

19. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any plan-specific terms presented in your dashboard, constitute the entire agreement between you and Guidely Pro regarding the Service.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
  • No waiver. Our failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
